How shareholders can agree to vote together

Two or more shareholders can sign a written agreement to decide how they will vote their shares. This agreement is not treated like a voting trust and can be enforced by a court.

The statute, as written — Voting agreements

(a) Two or more shareholders may provide for the manner in which they will vote their shares by signing an agreement for that purpose. A voting agreement created under this section is not subject to section 414-161. (b) A voting agreement created under this section is specifically enforceable.
