Which state's laws apply to foreign company lawsuits

This section says that when a shareholder sues on behalf of a foreign corporation, the rules in this subpart generally follow the laws of the state where the company is incorporated. But three specific sections of Hawaii law still apply instead. It only affects derivative lawsuits involving foreign companies.

The statute, as written — Applicability to foreign corporations

In any derivative proceeding in the right of a foreign corporation, the matters covered by this subpart shall be governed by the laws of the jurisdiction of incorporation of the foreign corporation except for sections 414-174, 414-176, and 414-177.
