How member votes are counted and changing vote rules
This section explains how member votes are counted for a nonprofit corporation. If enough members are present, a majority of those voting decides the action, unless the rules require more. Changing the vote requirement in the bylaws needs member approval.
The statute, as written — Voting requirements
(a) Unless this chapter, the articles, or the bylaws require a greater vote or voting by class, if a quorum is present, the affirmative vote of the votes represented and voting (which affirmative votes also constitute a majority of the required quorum) is the act of the members. (b) A bylaws amendment to increase or decrease the vote required for any member action shall be approved by the members.
