Filing a notice that a partner has left

A partner who has left a partnership, or the partnership itself, can file a statement saying the partner is no longer with the partnership. This statement limits the former partner's authority. After the statement is filed, outsiders are considered to know about the departure after ninety days.

The statute, as written — Statement of dissociation

(a) A dissociated partner or the partnership may file a statement of dissociation stating the name of the partnership and that the partner is dissociated from the partnership. (b) A statement of dissociation is a limitation on the authority of a dissociated partner for the purposes of section 425-114(a) and (b). (c) For the purposes of sections 425-134(a)(3) and 425-135(b)(3), a person not a partner is deemed to have notice of the dissociation ninety days after the statement of dissociation is filed.
