HRS §425E-901

Which state's laws apply to a foreign limited partnership

This section says that a foreign limited partnership is governed by the laws of the state where it was formed, for its organization, internal affairs, and partner liability. It also says that a foreign partnership cannot be denied registration just because its home state's laws differ from Hawaii's, and a certificate of authority does not allow it to do anything a Hawaii limited partnership cannot do.
