How to restate your LLC's articles of organization

An LLC can update its articles of organization by filing a restated version. The restated document must include all current provisions and state that it replaces the original and all amendments. It is filed with the director, who may certify the current version without the extra statement.

The statute, as written — Restated articles of organization

(a) A limited liability company may at any time restate its articles of organization as amended. (b) The restated articles of organization shall set forth all of the operative provisions of the articles of organization as amended, together with a statement that the restated articles of organization correctly set forth without change the corresponding provisions of the articles of organization as amended, and that the restated articles of organization supersede the original articles of organization and all amendments thereto. (c) The restated articles of organization shall be delivered to the director for filing. The director may certify the restated articles of organization currently in effect, without including the information required to be filed by subsection (b).
