When a company is responsible for its members' actions

A limited liability company (LLC) is responsible for harm or penalties caused by a member or manager's wrongful act, as long as that person was acting in the normal course of business or with the company's authority.

A limited liability company shall be liable for loss or injury caused to any person, or for a penalty incurred, as a result of a wrongful act or omission or other actionable conduct of a member or manager acting in the ordinary course of business of the company or with authority of the company.
