Rules for who can be a director

A company's articles of incorporation or bylaws can set rules for who can be a director. Unless those documents say otherwise, a director does not have to live in Hawaii or own shares in the company.

The statute, as written — Qualifications of directors

The articles of incorporation or bylaws may prescribe qualifications for directors. A director need not be a resident of this State or a shareholder of the corporation unless the articles of incorporation or bylaws so prescribe.
