HRS §414-235

Officer jobs and contract rights

This section says that being chosen as an officer does not automatically create a contract with the corporation. If an officer is removed or resigns, any existing contract rights they or the corporation have are not affected.

The statute, as written — Contract rights of officers

(a) The appointment or election of an officer does not itself create contract rights. (b) An officer's removal does not affect the officer's contract rights, if any, with the corporation. An officer's resignation does not affect the corporation's contract rights, if any, with the officer.
