Changing the rules before any shares are sold

If a company has not yet sold any shares, the people who started it or its board of directors can change the company's official rules. This section only allows changes before shares are issued. It does not say how to do it or what limits apply.

The statute, as written — Amendment before issuance of shares

If a corporation has not yet issued shares, its incorporators or board of directors may adopt one or more amendments to the corporation's articles of incorporation.
