Personal responsibility for acting before a corporation exists

If you act as a corporation or for one, knowing it was never legally formed, you and the others acting with you are each fully responsible for any debts or obligations you create. This section makes you personally liable for those liabilities.

All persons purporting to act as or on behalf of a corporation, knowing there was no incorporation under this chapter, are jointly and severally liable for all liabilities created while so acting.
