HRS §414D-36
Rules for running the corporation
The people who start a corporation or its board of directors must create the first set of rules, called bylaws. These rules can cover anything about running the corporation, as long as they follow the law and the corporation's official founding document.
The statute, as written — Bylaws
(a) The incorporators or board of directors of a corporation shall adopt initial bylaws for the corporation. (b) The bylaws may contain any provision for regulating and managing the affairs of the corporation that is not inconsistent with law or the articles of incorporation.
