Who can be directors and officers
This section sets who can serve as directors and officers of a professional corporation. At least half of the directors and all officers except the secretary and treasurer must be qualified people. Also, at least one director must live in Hawaii.

Not less than one-half of the directors of a professional corporation and all of the officers, other than the secretary and the treasurer, shall be qualified persons with respect to the corporation. At least one director shall be a resident of this State.
