HRS §425-157
Which state's law applies to a foreign partnership
This section says that the law of the state where a foreign limited liability partnership was formed controls how partners relate to each other and to the partnership, and whether partners are liable for partnership debts. It also says that registering in Hawaii does not let the partnership do anything that is illegal for a local partnership here.
