How someone becomes a general partner

This section lists the four ways a person can become a general partner in a limited partnership. It can happen through the partnership agreement, after the last general partner leaves, through a conversion or merger, or if all partners agree.

The statute, as written — General partner

A person becomes a general partner: (1) As provided in the partnership agreement; (2) Under section 425E-801(3)(B) following the dissociation of a limited partnership's last general partner; (3) As the result of a conversion or merger under article 11; or (4) With the consent of all the partners.
