Partners get cash, not property, unless all agree

A partner cannot force a limited partnership to give them property instead of cash. The partnership can give property instead of cash only if each partner gets the same percentage of that property as their share of distributions, and other rules are followed.

The statute, as written — Distribution in kind

A partner shall not have a right to demand or receive any distribution from a limited partnership in any form other than cash. Subject to section 425E-812(b), a limited partnership may distribute an asset in kind to the extent each partner receives a percentage of the asset equal to the partner's share of distributions.
