Filing proxy solicitation materials before sending them

Before a company sends stockholders any materials asking for their proxy, it must file two preliminary copies with the insurance commissioner at least five business days before the final version goes out. The commissioner can allow a shorter time if the company shows good reason.

Two copies of any soliciting material proposed to be sent or given to stockholders prior to the furnishing of the written proxy statement required by section 431:4-238(a) shall be filed with the commissioner in preliminary form at least five business days prior to the date final form copies of the material are first sent or given to the stockholders, or a shorter period as the commissioner may authorize upon a showing of good cause therefor.
